Affiliate Terms and Conditions
This is for Ambassadors and Advocates
Definitions: Ambassadors are affiliates with no minimum requirements to remain in the program. Advocates are required to post a minimum thirty videos every month to maintain status as an Advocate. Both “Ambassadors” and “Advocates” are affiliates. We have an Affiliate Accelerator (called "Calling: Dogs") for affiliates to accelerate their reach and impact as a creator and educator. This exclusive community is for creators who feel it is their calling to serve dogs.
1. Introduction
1.1. Welcome to the Gussy’s Gut LLC Affiliate Marketing Program, powered by SocialSnowball.io. This program is designed to reward affiliates for referring new customers to Gussy’s Gut LLC products and services.
1.2. By applying to, joining, or participating in the Affiliate Program, you agree to be bound by these Terms and Conditions (“Agreement”).
2. Eligibility
2.1. To participate, you must:
-Be at least 18 years of age; and
-Have a valid and active payment method for receiving commissions.
2.2. Gussy’s Gut LLC reserves the right, at its sole discretion, to approve or reject any application, and to suspend or terminate participation at any time.
3. Program Participation
3.1. Upon approval, you will receive a unique referral link and/or discount code (“Affiliate Link/Code”) to share with your audience.
3.2. Commissions are earned only on qualifying sales that are directly attributed to your Affiliate Link/Code as tracked by our systems.
3.3. You are solely responsible for ensuring that your promotional methods comply with all applicable laws, rules, regulations, and industry guidelines (including required advertising disclosures).
4. Commission and Payments
4.1. Commission rates are determined by Gussy’s Gut LLC and may be modified at any time, at our discretion. Affiliates will be notified of any changes through reasonable means (e.g., email or dashboard notification).
4.2. Commission is paid only on collected funds from completed sales. Returned, canceled, or fraudulent orders will not qualify, and any associated commission may be deducted from your balance.
4.3. All commissions are subject to review and verification to protect the integrity of the program. Gussy’s Gut LLC may delay or withhold payment while investigating suspected fraud or violations of this Agreement.
4.4. Commissions deemed to have been generated by fraudulent, illegal, misleading, or overly aggressive tactics may be voided without notice.
4.5. Gussy’s Gut LLC reserves the right to withhold or delay payment of commissions pending investigation of any potential breach of these Terms and Conditions.
5. Coupon and Deal Sites Prohibited
5.1. Posting, distributing, or allowing your Affiliate Link/Code to be shared on coupon or deal websites (including but not limited to CouponBird, Honey, and similar services) is strictly prohibited.
5.2. Violations may result in immediate termination from the program and forfeiture of any unpaid commissions.
5.3. You are encouraged to promptly report any unauthorized use of your Affiliate Link/Code to Gussy’s Gut LLC for investigation.
6. Intellectual Property
6.1. Gussy’s Gut LLC may provide you with promotional materials, such as images, logos, videos, and copy (“Brand Assets”). You may use these solely for the purpose of promoting Gussy’s Gut LLC under this Affiliate Program.
6.2. You may not alter, modify, or create derivative works of any Brand Assets without the prior written consent of Gussy’s Gut LLC.
6.3. All use of Brand Assets must be respectful and consistent with Gussy’s Gut LLC’s brand guidelines and reputation.
7. Whitelisting Rights and Whitelist Affiliate Commission
7.1. Grant of Whitelisting Rights
Affiliate hereby grants Gussy’s Gut LLC a non-exclusive, worldwide, royalty-bearing license, in perpetuity, to use Affiliate’s name, image, likeness, handle, and any content created or posted by Affiliate in connection with the Affiliate Program (“Affiliate Content”) for the purpose of creating, running, optimizing, and analyzing paid advertisements and related promotional materials (“Whitelisted Ads”) from Affiliate’s social media accounts or in a manner that references or appears to originate from Affiliate’s accounts. You are opted in automatically to granting these rights and may opt out in writing. However, this may disqualify you from participating in the affiliate program. Opting out is also a request to cancel.
7.2. Scope of Whitelisting Use
Gussy’s Gut LLC may, in its sole discretion, use Affiliate Content in Whitelisted Ads across any media or platform now known or later developed, including but not limited to social media platforms, ad networks, search engines, and display networks, and may edit, crop, adapt, and combine Affiliate Content with other materials, provided that the core message is consistent with Gussy’s Gut LLC’s brand guidelines.
7.3. Whitelist Affiliate Commission Rate
In consideration for the Whitelisting rights granted herein, Affiliate agrees to receive a reduced commission rate on qualifying sales generated from Whitelisted Ads (the “Whitelist Affiliate Commission”), which will be set by Gussy’s Gut LLC and communicated to Affiliate in writing (including via email, dashboard, or program materials). For all qualifying sales attributed to Whitelisted Ads, Affiliate’s standard affiliate commission shall be replaced by the Whitelist Affiliate Commission with a reduced commission rate of 10% for advertising Affiliate's creative to a larger audience than the Affiliate has access to for all qualifying sales generated from these ads for so long as such Whitelisted Ads are running and the Whitelist Affiliate Commission is paid.
7.4. Perpetual Rights Conditioned on Payment
The license granted in Section 7.1 is perpetual and shall remain in effect for so long as Gussy’s Gut LLC continues to pay the Whitelist Affiliate Commission on qualifying sales generated from Whitelisted Ads that use Affiliate Content. If Gussy’s Gut LLC permanently ceases running all Whitelisted Ads using Affiliate Content, Gussy’s Gut LLC shall retain the right to keep historical ads and related performance data for internal records but shall cease active use of Affiliate’s handle and likeness in new Whitelisted Ads.
8. Content Download and Paid Usage Rights
8.1. Download and Usage License
Affiliate grants Gussy’s Gut LLC a non-exclusive, worldwide, perpetual license to download, store, reproduce, display, distribute, and otherwise use Affiliate Content, in whole or in part, for advertising, marketing, and promotional purposes, including but not limited to paid ads, organic social posts, email marketing, website content, and landing pages, with Affiliate’s affiliate link attached where applicable. You are opted in automatically to these licenses and may opt out in writing. However, this may disqualify you from participating.
8.2. Compensation for Downloaded Content
As consideration for the rights granted in Section 8.1, Gussy’s Gut LLC may, at its sole discretion, compensate Affiliate for each piece of Affiliate Content that Gussy’s Gut LLC elects to download and use, Gussys Gut LLC will pay a reduced commission of 10% for advertising Affiliate's creative to a larger audience than the Affiliate has access to for all qualifying sales generated from these ads on all qualifying sales generated from these ads or posts using such Affiliate Content. This is similar to the Whitelist Affiliate Commission described above (the “Content License Commission”). Gussy’s Gut LLC will specify in writing (including via email or program dashboard) which compensation structure applies to a given piece of content.
8.3. Attribution and Affiliate Link Usage
Gussy’s Gut LLC may, but is not required to, tag Affiliate, credit Affiliate, or use Affiliate’s affiliate link in connection with the use of Affiliate Content. When Gussy’s Gut LLC uses Affiliate’s affiliate link with such content, qualifying sales tracked to that link will be eligible for the applicable Whitelist Affiliate Commission or Content License Commission, as communicated by Gussy’s Gut LLC.
9. Non-Disparagement Clause
9.1 Now that you've joined us in a business relationship, we ask you to agree to the following. During and after the term of this agreement for a period of one year, each party agrees not to make or publish any statements, whether written or verbal, that are disparaging, defamatory, or damaging to the reputation, goodwill, or business interests of the other party. This includes, but is not limited to, negative comments made on social media, review platforms, or in conversations with clients, customers, or industry contacts. If any concerns or disputes arise, both parties agree to address them respectfully and directly and to work together in good faith to reach a resolution. This clause does not restrict either party from taking any private legal action or communicating facts to comply with legal obligations. Both parties recognize that a strong, respectful partnership benefits everyone involved, and this clause reflects that shared value.
10. Representations and Warranties
10.1. Affiliate Rights to Content
Affiliate represents and warrants that Affiliate owns or has all necessary rights, licenses, and permissions to grant the rights described in this Agreement to Gussy’s Gut LLC, and that the use of Affiliate Content as authorized herein will not infringe any third-party rights.
10.2. No Conflicting Obligations
Affiliate represents and warrants that there are no existing agreements or obligations that would conflict with or restrict the rights granted to Gussy’s Gut LLC under these provisions.
11. Termination
11.1. Either Gussy’s Gut LLC or Affiliate may terminate participation in the Affiliate Program at any time, with or without cause, by providing written notice.
11.2. Upon termination, Affiliate must immediately cease all use of Gussy’s Gut LLC trademarks, Brand Assets, promotional materials, and Affiliate Links/Codes.
11.3. Any commissions validly earned prior to the effective date of termination will be paid in accordance with these Terms and Conditions, unless forfeited due to breach.
12. Limitation of Liability
12.1. Gussy’s Gut LLC will not be liable for indirect, special, incidental, punitive, or consequential damages, or for any loss of revenue, profits, or data arising in connection with this Agreement or the Affiliate Program, even if advised of the possibility of such damages.
12.2. To the maximum extent permitted by law, the total liability of Gussy’s Gut LLC arising out of or related to this Agreement shall not exceed the total commissions paid or payable to Affiliate under this Agreement in the three (3) months preceding the event giving rise to the claim.
13. Amendments
13.1. Gussy’s Gut LLC reserves the right to update, modify, or replace these Terms and Conditions at any time. Revision date will be posted at the bottom of this agreement.
13.2. Notice of changes may be provided via email, account dashboard, or posting an updated version on our website.
13.3. Continued participation in the Affiliate Program after any such changes shall constitute your acceptance of the revised Terms and Conditions.
14. Choice of Law and Jurisdiction
14.1. This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law principles.
14.2. Any dispute, claim, or controversy arising out of or relating to this Agreement, the Affiliate Program, or participation in the program shall be brought exclusively in the state or federal courts located in Davidson County, Tennessee.
14.3. By participating in the Affiliate Program, Affiliate irrevocably consents to the personal jurisdiction and venue of such courts and waives any objection to inconvenient forum.
15. Entire Agreement and Acceptance
15.1. This Agreement constitutes the entire understanding between you and Gussy’s Gut LLC regarding your participation in the Affiliate Marketing Program and supersedes all prior agreements, proposals, or representations.
15.2. By clicking “Join,” submitting an application, and/or using your Affiliate Link/Code, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
15.3. You understand that violation of any of these terms may result in suspension or termination from the program and forfeiture of any accrued but unpaid commissions.
